Agreement terms

Important: Review every term before signing. Contact TFP Designs if your approved proposal contains different terms.

  1. Services and scope. TFP Designs & Computer Services LLC (“TFP”) will provide only the pages, features, integrations, and deliverables identified in the approved proposal or scope entered above. Additional work requires written approval and may incur additional charges.
  2. Customer responsibilities. The customer will provide accurate content, images, approvals, credentials, and feedback on time and confirms that supplied materials may legally be used. Delays in receiving these items may extend the schedule.
  3. Fees and payment. The customer will pay the quoted fee according to the approved invoice or payment schedule. Deposits and completed milestone payments are nonrefundable once the related work has begun. TFP may pause work or withhold launch and transfer while an invoice is past due.
  4. Revisions. The quoted price includes only revisions stated in the proposal. New features, changed direction, or revisions outside the approved scope will be quoted separately.
  5. Timeline and acceptance. Dates are estimates unless expressly guaranteed in writing. The customer will review deliverables promptly. A deliverable is accepted when approved in writing, launched at the customer’s direction, or not disputed with specific written corrections within seven calendar days after delivery.
  6. Ownership. After full payment, the customer owns the final custom website content and design deliverables created specifically for the project. TFP retains ownership of its reusable methods, tools, code libraries, and preexisting materials. Third-party themes, plugins, fonts, images, and services remain subject to their own licenses.
  7. Third-party services. Hosting, domains, email, payment processors, plugins, and other outside services may have separate fees and terms. TFP is not responsible for third-party outages, policy changes, account suspensions, or service discontinuation.
  8. Cancellation. Either party may cancel in writing. The customer remains responsible for work completed, committed expenses, and noncancelable third-party costs through the cancellation date.
  9. Warranty and liability. TFP will correct reproducible defects in its delivered work reported within 30 days after launch. Except for that limited commitment, services are provided as-is to the extent permitted by law. TFP is not liable for indirect, special, incidental, or consequential damages, and TFP’s total liability will not exceed the amount paid for the affected project.
  10. General terms. This agreement, together with the accepted proposal and invoices, is the entire agreement for these services and may be changed only in writing. Louisiana law governs. If one provision is unenforceable, the remaining provisions continue in effect.
  11. Electronic signature. The signer confirms authority to enter this agreement and agrees that the electronic signature and submission have the same effect as a handwritten signature.
