Agreement terms

Important: Review every term before signing. Contact TFP Designs if your approved proposal contains different terms.

  1. Covered services. TFP Designs & Computer Services LLC (“TFP”) will perform routine WordPress core, theme, and plugin updates; reasonable compatibility checks; uptime and security review; and minor content updates only to the extent included in the selected plan or written proposal.
  2. Excluded work. Redesigns, new pages, custom development, major content entry, malware cleanup, emergency recovery, hosting migrations, search-engine campaigns, and third-party subscription costs are not included unless approved in writing.
  3. Access and cooperation. The customer authorizes TFP to access and administer the website and related services as needed. The customer will maintain ownership of its accounts, provide working credentials and approvals, and notify TFP of relevant changes made by others.
  4. Fees and billing. Maintenance is billed monthly at the amount entered above or shown on the applicable invoice. Payment is due according to the invoice or recurring billing authorization. TFP may suspend service while an account is past due.
  5. Requests and response. Requests must be submitted through TFP’s approved contact method. Response and completion times depend on urgency, complexity, access, and third-party availability. Maintenance service does not guarantee uninterrupted operation.
  6. Backups and security. TFP will use commercially reasonable care when backup or security tasks are included, but no system can be guaranteed against data loss, malware, hacking, outages, or third-party failure. The customer should retain its own copies of critical content and business data.
  7. Third-party services. Hosting providers, registrars, plugins, payment processors, and other vendors control their own systems, fees, and terms. TFP is not responsible for their outages, policy changes, account actions, or discontinued services.
  8. Term and cancellation. This agreement continues month to month until either party gives 30 days’ written notice, unless a written proposal states another term. Fees already earned and noncancelable third-party charges remain due.
  9. Liability. To the extent permitted by law, TFP is not liable for indirect, special, incidental, or consequential damages. TFP’s total liability related to maintenance services will not exceed the maintenance fees paid during the three months immediately preceding the event giving rise to the claim.
  10. General terms. This agreement, together with the accepted proposal and invoices, is the entire agreement for these services and may be changed only in writing. Louisiana law governs. If one provision is unenforceable, the remaining provisions continue in effect.
  11. Electronic signature. The signer confirms authority to enter this agreement and agrees that the electronic signature and submission have the same effect as a handwritten signature.
